IAOP Chapter: Contracting Process

Meeting held on March 13, 2014

The IAOP Contracting Process chapter, chaired by Mayer Brown held a meeting in conjunction with the Minnesota chapter, chaired by CBRE, Alsbridge, Infosys and ISG, on March 13, 2014, from 3:00 pm to 5:00 pm, at the CBRE offices at 4400 West 78th Street, Suite 200, Minneapolis, MN 55435.

Industry leaders shared their expertise around the topics of “Cyber Security, SIAM and Contract Structure Best Practices”.

Webinar held on July 25, 2011

A virtual meeting of the IAOP Contracting Process Chapter, chaired by Brad Peterson and Paul Roy of Mayer Brown LLP, was held in conjunction with the IAOP Governance Chapter, chaired by Vantage Partners and AT&T on Monday, July 25.

Renegotiation: Threat, or Opportunity?

Renegotiation, whether formal or informal, is a fact of life for most outsourcing arrangements. Business needs and priorities shift, capabilities change, market conditions evolve... and existing deals need to evolve to keep pace. The way you structure your contract and govern your ongoing relationship can have a significant impact on whether renegotiations become a threat to be avoided, or an opportunity for both sides to achieve greater value.

In this special joint meeting, chapter chairs Brad Peterson, Partner, Mayer Brown, and Sara Enlow, Principal, Vantage Partners, shared some perspective on the link between contracting and governance, and how each impacts (and is impacted by) renegotiations.  Bring your questions and experiences for this special round table discussion.

“Negotiauctions – An Interview with Guhan Subramanian”

Today’s competitively-bid outsourcing deals include elements of both negotiations and auctions, but the received wisdom on deal-making treats these two mechanisms separately. Negotiauctions, a new book by leading dealmaking scholar Guhan Subramanian, brings together auction theory and negotiation theory in a practical and accessible way. This is an authoritative guide that explores the ubiquitous situation in which a supplier is “fighting on two fronts”—across the table, of course, but also on the same side of the table with known, unknown, or possible competitors.

Negotiauctions delves into case studies as diverse as buying a house, haggling over the rights to the television show Frasier, and selling “toxic” assets into the U.S. government’s bailout fund. In this interview, we will speak specifically to the lessons for competitively-bid outsourcing deals. Both customers and suppliers will learn more about how to create and capture more value in outsourcing negotiations.

Guhan Subramanian is the Joseph Flom Professor of Law and Business at the Harvard Law School and the H. Douglas Weaver Professor of Business Law at the Harvard Business School.  He is the only person in the history of Harvard University to hold tenured appointments at both HLS and HBS. He currently teaches courses in negotiations, corporate law, complex deal making, and corporate governance.

Meeting held July 30, 2009

A virtual meeting of the IAOP Contracting Process Chapter, chaired by Brad Peterson and Paul Roy of Mayer Brown LLP, was held Thursday, July 30, 2009.

This program centered on “Effective and Efficient Contracting Processes.” Topics included: choosing a contracting strategy that maximizes deal value; building the deal-specific capacity and capability required to execute strategies; efficient use of the deal team’s time; keys to success in negotiation: knowledge, preparation and focus; reducing cycle time and process costs using project management tools and techniques, plus preserving value in the transition to governance.

Inaugural meeting held April 23, 2009

The IAOP Contracting Process Chapter, chaired by Brad Peterson and Paul Roy of Mayer Brown LLP, held its inaugural virtual meeting on Thursday, April 23, 2009.

Chapter chairs Peterson and Roy moderated an insightful panel discussion entitled “Efficient and Effective Contracting Processes.”  Panel members include: Ben Brock of Dow Chemical, Sanya Lawless of Liberty Mutual, Gayle Anderson of Procter & Gamble and Doug Plotkin of PA Consulting Group.  Participants gained valuable information that will surely enhance their future contracting processes.  Members may review this valuable information by listening to a recording of the webinar – just click on the Chapter Presentations link in our Knowledge Center.
